EPAM is currently seeking a Chief Compliance Officer to join its growing global leadership team. This role is a highly critical and visible position that will be responsible for leading the company’s corporate compliance efforts. This new full time global executive role will report into the CEO of EPAM and will be responsible for developing a robust, integrated global compliance program across the organization with a focus on anti-bribery, privacy, trade control issues, building on EPAM’s existing standalone programs and processes.
Together with the CEO, senior leadership and other functional groups, the Chief Compliance Officer will be responsible for leading, promoting and enhancing a culture where commitment to ethics and compliance is valued and rewarded. This key individual will serve as a risk leader for the entire organization and, as such, must have extensive experience in the global compliance, internal investigations, training and regulatory arenas. This position represents a unique opportunity to operate at the forefront of compliance, managing the complex issues confronting a multi-faceted, global organization. The position calls for a broad profile, including strong legal background and technical compliance expertise across multiple international, federal and state laws and regulations. The Chief Compliance Officer will work closely with our legal and human resource professionals as well as other company business representatives and professionals around the world.
Manage EPAM’s compliance program and related professionals;
Assess risks and identify potential areas of compliance vulnerability and risk; develop/implement corrective action plans for resolution of problematic issues, and provide guidance on how to avoid or deal with similar situations in the future;
Partner with senior management to develop and periodically review and update the code of conduct to ensure continuing currency and relevance in providing guidance to management and employees;
Benchmark compliance program against programs of other respected companies; work with key thought leaders in the area of compliance to ensure best practices;
Create, maintain and enhance policies, procedures, and controls for EPAM’s legal compliance programs to prevent, detect, and remediate unlawful, unethical, or other improper conduct;
Develop relationships with key business and functional group leaders and serve as a compliance resource for other executive team members;
Oversee periodic legal compliance risk assessments to identify trends and gaps, to prioritize resources, and to develop measures to enhance EPAM’s compliance programs;
Regularly monitor and advise company leadership on EPAM’s compliance programs through data analytics and metrics tracking and reporting;
Establish, maintain and oversee confidential and consistent reporting and investigations procedures, in collaboration with other internal stakeholders, and oversee legal compliance investigations, investigation reporting, and related remedial measures;
Establish and manage the compliance hotline in collaboration with other internal stakeholders;
Work with legal professionals, audit and monitor compliance with EPAM’s compliance policies and worldwide laws;
Track and apply relevant laws and regulations to identify enforcement trends and apply corrective actions;
Conduct (teaming with compliance, legal, internal audit, procurement and corporate social responsibility staff) anti-corruption due diligence on channel partners, suppliers, other business partners and charitable activities;
Create, track and maintain employee training and communications on compliance issues, including EPAM’S Code of Conduct;
Lead and drive employee engagement through corporate communications;
Continuously develop domain knowledge of EPAM businesses to include an understanding of short-term objectives and long-term company strategies;
Develop and lead initiatives addressing compliance risks specific to the company’s business activities;
Provide reports on a regular basis to the board of directors and senior management to keep them informed of the operation and progress of compliance efforts.
Minimum 10 years of legal experience, including service in a top tier law firm and/or relevant government position, inclusive of relevant in-house experience. Former experience with the SEC or Department of Justice is desirable but not required;
Demonstrated background in designing, implementing and monitoring a global compliance program in the technology, consulting or software industry;
Experience as the head of or senior member within a robust compliance function of a publicly traded multinational corporation; ideally with experience in a global organization with a direct and distributed sales model;
In-depth knowledge of compliance mandates and regulatory bodies critical to a publicly traded, global company;
Experience working with senior government and regulatory agency officials, and specifically with senior attorneys and lawyers in the regulatory agencies;
Experience with compliance training and internal investigations is highly desired, in addition to substantial experience with anti-bribery and business ethics as well as SOX and other internal control systems;
Relevant international legal and compliance related experience;
Experience creating, tracking and maintaining employee training and communications on compliance issues;
Experience communicating and interacting with executive management and boards of directors;
Experience conducting internal investigations, including interviews, document review and report drafting;
Strong knowledge and application of worldwide compliance laws including anti-corruption laws as well as the U.S. Federal Sentencing Guidelines for organizations;
Strong knowledge and application of other worldwide laws addressing specific risks to the organization;
Ability to manage independently a diverse and complex workload while maintaining priorities and proactively anticipating issues;
Strong teamwork skills with the legal organization and other key functional groups;
Work mindset that is flexible, positive, and constructively manages change;
Strong strategic thinking and project management skills;
Excellent verbal and written communication skills;
